Terms of Service

This End User License Agreement (“Agreement”) is between you (“User,” “you,” or “your”) and EZ IT Solutions LLC(“Company,” “we,” “us,” or “our”) governing your access to and use of ezCyber (“Software” or “Portal”), including this marketing site, its waitlist and trial signup flows, and any live Portal instance.
By accessing or using the Portal, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not access or use the Portal.
1. License Grant
Subject to the terms of this Agreement, EZ IT Solutions LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Portal solely for your internal business operations as a client or authorized user of EZ IT Solutions LLC managed services.
2. Restrictions
You agree not to:
- Copy, modify, distribute, sell, lease, or sublicense the Software or any part thereof.
- Reverse engineer, decompile, or disassemble the Software.
- Use the Software for any unlawful purpose or in violation of any applicable laws or regulations.
- Attempt to gain unauthorized access to the Software, its servers, or any systems connected to the Software.
- Remove, alter, or obscure any proprietary notices, labels, or marks on the Software.
- Use the Software to build a competing product or service.
3. Data Handling
The Portal processes and stores data on your behalf, including but not limited to business contact information, service records, device inventories, and documentation. All data is stored in encrypted databases and transmitted over encrypted connections. We handle your data in accordance with our Privacy Policy.
4. Billing and Payment
Paid Portal subscriptions are billed by technician/seat count on a recurring basis. Payment is processed by Stripe; we do not store your full card number ourselves. By adding a card to your account, you authorize EZ IT Solutions LLC to automatically charge that card for invoices as they come due, on a recurring basis, until the card is removed or your subscription is cancelled. Charges appear on your statement under the billing descriptor shown to you at checkout.
- Currency: fees are billed in U.S. dollars by default; Canadian customers may be billed in Canadian dollars on an eligible plan.
- Failed payments: if a charge fails, we will retry it on a schedule and may email you about it. Continued non-payment after retries can result in suspension of your access to the Portal until the balance is resolved.
- Cancellation: you may cancel your subscription at any time through the Portal or by contacting us; access continues through the remainder of the period already paid for.
- Refunds: fees are billed in advance and are non-refundable except where required by law or where we agree otherwise in writing.
- Taxes: posted prices do not currently include sales or other transaction taxes. If we become required to collect tax in your jurisdiction, it will be added to your invoice.
- Price changes: we may change our fees, with notice to you in advance of the change taking effect on your next billing period.
Stripe's own terms and privacy policy also apply to the payment processing it performs on our behalf.
5. AI-Assisted Features — Use At Your Own Risk
The Portal includes AI-assisted features, including an AI assistant (“Elise”) powered by a bring-your-own-key AI provider you connect and control, that can generate documentation, analyze service and ticket data, answer questions about how the Portal works, and, where you grant it the ability to do so, take actions or modify settings on your behalf that you yourself are permitted to modify (subject to your account's role-based permissions). Use of these AI-assisted and AI-driven features is entirely at your own risk. AI-generated output and AI-initiated actions can be incomplete, inaccurate, or not what you intended, and EZ IT Solutions LLC does not warrant the accuracy, completeness, or fitness of any AI-generated content or AI-initiated action for any particular purpose. You are responsible for reviewing AI-generated content and AI-initiated changes before relying on them, and for any consequences of acting on them. Every AI-initiated action is recorded in the Portal's audit history, but that recordkeeping does not itself constitute a review or approval by EZ IT Solutions LLC.
6. Third-Party Integration Data Usage
6.1 QuickBooks
When you connect your QuickBooks account to the Portal, we access financial data including invoices, customers, payments, and account balances through the Intuit QuickBooks API. This data is used exclusively for the following purposes:
- Synchronizing invoice and billing data for internal MSP operations.
- Matching QuickBooks customers with service records for accurate billing.
- Generating financial reports and dashboards for authorized administrators.
- Automating invoice creation and payment tracking.
QuickBooks data is never sold, shared with unauthorized third parties, or used for purposes unrelated to the managed services provided by EZ IT Solutions LLC. You may disconnect your QuickBooks account at any time through the Portal settings, which will cease all data synchronization and remove stored QuickBooks tokens.
6.2 Google Workspace
When a domain administrator grants consent, we access user directory and license data through the Google Admin SDK and Enterprise License Manager API. This data is used exclusively for:
- Synchronizing user accounts for portal access and ticket management.
- Tracking license assignments and subscription usage.
- Verifying authorized users for email-based ticket creation.
Google Workspace data is never sold or shared with unauthorized third parties. You may revoke access at any time through the Portal settings or your Google Admin console, which will cease all data synchronization and remove stored OAuth tokens.
6.3 Microsoft 365
With tenant administrator consent, we access user, group, device, and license data through the Microsoft Graph API. This data is used for:
- Synchronizing user accounts and group memberships for portal access control.
- Tracking license assignments and subscription usage.
- Device compliance monitoring and inventory management.
You may revoke access at any time through the Portal settings or your Azure AD admin center.
6.4 Other Third-Party Platforms
The Portal also integrates with other third-party RMM, documentation, and service management platforms you or your organization select. This data is used for:
- Displaying device inventories and health status in the Portal.
- Correlating devices with client organizations for service management.
- Monitoring device compliance and patch status.
- Keeping the Portal's service desk and documentation in sync with your other tools.
6.5 Your AI Provider (Bring Your Own Key)
AI-assisted features, including Elise, run on the AI provider and API key you connect and control — we do not route your data through a fixed AI vendor of our own choosing, and we do not mark up or meter the tokens you use. Data sent for an AI-assisted task is limited to the minimum necessary for that task and is processed per your chosen provider's own terms and privacy policy. See Section 5 above for the risk terms governing these features.
7. Intellectual Property
The Software, including all code, design, content, features, and documentation, is the exclusive property of EZ IT Solutions LLC and is protected by applicable intellectual property laws. This Agreement does not grant you any ownership rights in the Software.
8. Account Responsibility
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify EZ IT Solutions LLC immediately of any unauthorized use of your account.
9. Termination
This Agreement is effective until terminated. EZ IT Solutions LLC may terminate or suspend your access to the Portal at any time, with or without cause, and with or without notice. Upon termination, your right to use the Portal will immediately cease. Sections 2, 4, 7, 10, 11, and 12 shall survive termination.
10. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. EZ IT SOLUTIONS LLC DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, AND SPECIFICALLY DOES NOT WARRANT THE ACCURACY OR RELIABILITY OF ANY AI-GENERATED CONTENT OR AI-INITIATED ACTION (SEE SECTION 5).
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EZ IT SOLUTIONS LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SOFTWARE — INCLUDING ANY AI-ASSISTED OR AI-INITIATED FEATURE — WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF EZ IT SOLUTIONS LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL EZ IT SOLUTIONS LLC'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNTS PAID BY YOU TO EZ IT SOLUTIONS LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved in the state or federal courts located in Texas.
13. Changes to This Agreement
EZ IT Solutions LLC reserves the right to modify this Agreement at any time. Changes will be effective upon posting the updated Agreement to this site or the Portal. Your continued use of either after any such changes constitutes your acceptance of the new terms.
